Terms of Use

These Terms of Use ("Terms") govern your use of ebeauti.ai, qpatch.ai and any other website or app operated by eBeauti AI Inc. that links to these Terms (together, the "Site"). "eBeauti," "we," "us" and "our" mean eBeauti AI Inc.

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SITE. By using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree to all of these Terms, do not use the Site.

We may revise these Terms at any time by posting an updated version on this page and changing the "Last updated" date above. Your continued use of the Site after a change means you accept the revised Terms.

1. Not medical advice

The text, graphics, images and other materials on the Site, whether created by eBeauti or obtained from our licensors (together, "Content"), are for general informational purposes only. The Content is not a substitute for professional medical advice, diagnosis or treatment. Always seek the advice of your physician or another qualified health provider with any questions you may have about a medical condition. Never disregard professional medical advice or delay seeking it because of something you read on the Site or that was generated by any artificial intelligence (AI) feature of the Site.

If you think you may have a medical emergency, call 911 or your doctor immediately. eBeauti does not recommend or endorse any specific tests, physicians, products, procedures, opinions or other information that may be mentioned on the Site. Reliance on any information provided by eBeauti, its employees, others appearing on the Site at our invitation, or other visitors to the Site is solely at your own risk.

2. Our products and their status

• QPatch v1 is a drug-free wellness product and is not a transdermal drug-delivery product. It is not intended to diagnose, treat, cure or prevent any disease. MPatch v1 is a cosmetic patch with appearance-only benefits; it does not diagnose, treat, cure or prevent any condition, including acne.
• Products and features described on the Site as "upcoming," "in development" or "pipeline," including the Quantum Longevity OS platform and the contactless scan, are not yet available. They may change, be delayed or never be released.
• The contactless scan is in development and is not available. Scan visuals shown on the Site are illustrative demonstrations; the Site does not capture camera images, biometric data or health readings. When released, the scan is expected to use the licensed third-party GP-RPM SDK, which is FDA-cleared for heart rate and respiratory rate only. That clearance belongs to the SDK's manufacturer for its cleared uses. Blood pressure and oxygen saturation are in development, and any other indicators will be non-diagnostic wellness estimates.
• eBeauti's products are general wellness and cosmetic products. They are not FDA-cleared or FDA-approved.
• eBeauti AI Inc. does not sell peptides. Peptides are available only through a separate, regulated clinical channel.
• Patch purchases, business orders and subscriptions are processed by our commerce partner and are also subject to that partner's terms and policies.
• "Quantum" is used solely as a brand name and does not refer to any biofrequency, resonance, microcurrent or energy-medicine claim.

3. Eligibility and children

The Site is intended for adults 18 years of age and older. It is not intended or designed to attract children under 13, and we do not knowingly collect personal information from children under 13. If you believe a child has given us personal information, contact us at info@ebeauti.ai and we will take steps to delete it.

4. Use of the Content

The Content is protected by the copyright, trademark and other laws of the United States and other countries. eBeauti authorizes you to view the Content, and to download or print a single copy of it, solely for your personal, noncommercial use, provided you keep all copyright and other proprietary notices contained in the Content, for example: "© 2026 eBeauti AI Inc. All rights reserved." Special rules for the use of certain software or features on the Site may be posted elsewhere on the Site and are incorporated into these Terms by reference.

Title to the Content remains with eBeauti or its licensors. Any use of the Content not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark and other laws. Content and features may be changed or discontinued at any time without notice, at eBeauti's discretion. All rights not expressly granted in these Terms are reserved by eBeauti and its licensors.

Certain technology described on the Site is used under license. Patents underlying eBeauti products are owned by their respective owners, and eBeauti operates under a licensed wellness and cosmetic field of use.

If you violate any of these Terms, your permission to use the Content ends automatically, and you must immediately destroy any copies you have made of any portion of the Content.

5. Disclaimers and limitation of liability

Your use of the Site and the Content is at your own risk.

When you use the Site, information is transmitted over networks that may be beyond the control of eBeauti and its suppliers. Accordingly, eBeauti assumes no liability for or relating to the delay, failure, interruption or corruption of any data or other information transmitted in connection with your use of the Site.

THE SITE AND THE CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, EBEAUTI, ITS LICENSORS AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTIES' RIGHTS AND FITNESS FOR A PARTICULAR PURPOSE. Without limiting the foregoing, eBeauti, its licensors and its suppliers make no representations or warranties about:

1. The accuracy, reliability, completeness, correctness or timeliness of the Content, software, links or communications provided on or through the Site, including any content generated by AI features;
2. The regulatory status of any third-party technology, including the GP-RPM SDK;
3. The validity, scope or coverage of any patent, or whether any product is covered by a particular patent; or
4. The availability, timing or features of any product or feature described as upcoming, in development or pipeline.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EBEAUTI, ITS LICENSORS, ITS SUPPLIERS OR ANY THIRD PARTIES MENTIONED ON THE SITE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST DATA OR BUSINESS INTERRUPTION, ARISING FROM THE USE OF OR INABILITY TO USE THE SITE, THE CONTENT, ANY AI FEATURE OR ANY THIRD-PARTY TOOL OR APPLICATION, WHETHER BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF EBEAUTI, ITS LICENSORS, ITS SUPPLIERS AND ANY THIRD PARTIES MENTIONED ON THE SITE FOR ANY CLAIM RELATING TO THE SITE OR THE CONTENT SHALL NOT EXCEED THE ACTUAL DAMAGES YOU INCUR, UP TO U.S. $1,000.

To the extent permitted by law, any claim arising in connection with your use of the Site, the Content or the Interactive Features (as defined in Section 6) must be brought within one (1) year of the date of the event giving rise to the claim. Some jurisdictions do not allow certain warranty disclaimers or limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits any liability that cannot be limited under applicable law. Subject to that, the remedies in these Terms are exclusive and are limited to those expressly provided for in these Terms.

6. User content and submissions

Our Privacy Policy governs the personal information you give eBeauti, including the information you provide in our contact, waitlist and investor-request forms. For personal information, the Privacy Policy governs if it differs from these Terms.

The Site currently offers contact, waitlist and investor-request forms. We may add other interactive features later, such as comment areas or AI tools (together with the forms, "Interactive Features"). "User Content" means comments, questions, ideas, images, reviews and other materials you post publicly or submit to us, other than personal information you provide in our forms, which is handled under our Privacy Policy. You may also interact with us through our official accounts and branded hashtags on third-party social media platforms ("Social Media Platforms").

You agree not to post, upload or transmit any communication or User Content through the Interactive Features or Social Media Platforms that infringes or violates anyone's rights. By submitting User Content, you agree to comply with these Terms and our other applicable policies. eBeauti may remove User Content for any reason, including User Content we believe violates these Terms or our policies. User Content you post publicly, and any ideas you send us, are non-confidential. eBeauti is not responsible for the operation, terms of use or policies of any Social Media Platform; before using one, you should review its terms of use and policies, including its privacy policy.

Do not send eBeauti, by email or otherwise (including through the addresses listed on our Contact page), any communication or content that infringes or violates anyone's rights. If you submit any business information, idea, concept or invention to eBeauti, you agree that the submission is non-confidential for all purposes.

If you submit User Content, or any business information, idea, concept or invention, to eBeauti through the Site, a Social Media Platform or email, you grant eBeauti, and warrant that the owner of that content or intellectual property has expressly granted eBeauti, a royalty-free, perpetual, irrevocable, worldwide, non-exclusive and fully sublicensable (through multiple tiers) right and license to use, reproduce, create derivative works from, modify, adapt, publish, edit, translate, distribute, perform and publicly display it in any media or form now known or later developed. If you want to keep any business information, idea, concept or invention private or proprietary, do not submit it to us.

7. Photos, video and audio

The Site does not currently accept media uploads. If it does in the future, or if you share media with us on a Social Media Platform, you agree to post or upload media (such as photos, videos or audio) only if you created it yourself or have all rights needed to transmit and license it, and only if it does not violate trademark, copyright, privacy or any other rights of any person. Photos or videos of celebrities, and cartoon or comic images, are usually protected by their owners' rights.

To protect your privacy, do not submit media that contains personally identifiable information (such as a name, phone number, email address or website URL) of you or anyone else. Do not submit health or medical information through the Site. Uploading media showing other people without their permission is strictly prohibited. By uploading media, you warrant that you have permission from every person appearing in it to make the contribution and grant the rights described in these Terms.

It is strictly prohibited to upload media of any kind that contains expressions of hate, abuse, offensive images or conduct, obscenity, pornography or sexually explicit material, or any material that could give rise to civil or criminal liability under applicable law, or that otherwise conflicts with these Terms or our Privacy Policy. You also agree not to upload any material that contains software viruses or any other code, files or programs designed to interrupt, destroy or limit the functionality of any software or of the Site.

By uploading any media through the Site or a Social Media Platform: (a) you grant eBeauti a perpetual, irrevocable, non-exclusive, worldwide, royalty-free and fully sublicensable right and license to use, copy, print, publicly display, reproduce, modify, publish, post, transmit, create derivative works from and distribute the media and any material included in it; (b) you certify that every person pictured in the media (or, if a minor, that person's parent or legal guardian) authorizes eBeauti to do the same; and (c) you agree to indemnify eBeauti and its affiliates, directors, officers and employees and hold them harmless from all claims and expenses, including attorneys' fees, arising from the media or from your failure to comply with these Terms.

eBeauti may review any media, and may remove any media for any reason, at any time, without prior notice, at our sole discretion.

8. Accounts and passwords

If the Site lets you create an account or store information, you are responsible for taking all reasonable steps to ensure that no unauthorized person has access to your passwords or account. It is your sole responsibility to: (1) control the dissemination and use of your sign-in name, screen name and passwords; (2) authorize, monitor and control access to and use of your account and password; and (3) promptly tell eBeauti, through our Contact page, if you believe your account or password has been compromised or if you need to deactivate a password for any other reason.

You grant eBeauti, and all other persons or entities involved in operating the Site, the right to transmit, monitor, retrieve, store and use your information in connection with operating the Site, as described in our Privacy Policy. eBeauti does not assume any responsibility or liability for any information you submit, or for your or any third party's use or misuse of information transmitted or received through the Site.

9. Community guidelines

If you post User Content through the Interactive Features or on a Social Media Platform, you are solely responsible for your own communications, the consequences of posting them, and your reliance on any communications you find there. eBeauti and its licensors are not responsible for the consequences of any communications in the Interactive Features or on Social Media Platforms. If you feel threatened or believe someone else is in danger, contact your local law enforcement agency immediately. If you think you may have a medical emergency, call 911 or your doctor immediately.

In consideration of being allowed to use the Interactive Features and to interact with us on Social Media Platforms, you agree that the following actions are a material breach of these Terms:

1. Using an Interactive Feature or Social Media Platform for any purpose that violates local, state, national or international law;
2. Posting material that infringes the intellectual property, privacy or publicity rights of others;
3. Posting material that is unlawful, obscene, defamatory, threatening, harassing, abusive, slanderous or hateful, as determined by eBeauti in its sole discretion;
4. Posting advertisements or solicitations of business;
5. After receiving a warning, continuing to disrupt the normal flow of dialogue, or posting comments that are not related to the topic being discussed (unless the discussion is clearly free-form);
6. Posting chain letters or pyramid schemes;
7. Impersonating another person;
8. Distributing viruses or other harmful computer code;
9. Harvesting, scraping or otherwise collecting information about others, including email addresses, without their consent;
10. Allowing any other person or entity to use your identification to post or view comments;
11. Posting the same message more than once ("spamming"); or
12. Engaging in any other conduct that restricts or inhibits anyone from using or enjoying the Interactive Features, a Social Media Platform or the Site, or that, in eBeauti's judgment, exposes eBeauti or any of its customers or suppliers to any liability or harm.

eBeauti reserves the right, but is not obligated, to:

1. Record and monitor communications posted in public areas of the Site, if any;
2. Investigate an allegation that a communication does not conform to these Terms and decide, in its sole discretion, to remove or request the removal of the communication;
3. Remove communications that are abusive, illegal or disruptive, or that otherwise fail to conform to these Terms;
4. Terminate a user's access to any or all Interactive Features or the Site upon any breach of these Terms;
5. Edit or disclose any communication posted in public areas of the Site, if any, or on a Social Media Platform, as described in our Privacy Policy; and
6. Edit or delete any communication posted on the Site, whether or not it violates these standards.

eBeauti and its licensors have no liability or responsibility to users of the Site or to any other person or entity for performing or not performing any of these activities.

10. Links to other websites

The Site may link to third-party websites. eBeauti does not recommend or endorse the content of any third-party website and is not responsible for the content of linked third-party sites, sites framed within the Site, or third-party advertisements, and makes no representations about their content or accuracy. Your use of third-party websites is at your own risk and subject to their terms and conditions of use. eBeauti does not endorse any product, service or treatment advertised on the Site or on any third-party website.

11. Indemnity

You agree to defend, indemnify and hold harmless eBeauti and its officers, directors, employees, agents, licensors and suppliers from and against any claims, actions or demands, liabilities and settlements, including without limitation reasonable legal and accounting fees, resulting from or alleged to result from: (a) your use of the Site; (b) any User Content you post or upload; (c) your use of or reliance on any User Content; or (d) your violation of these Terms.

12. Investor information

Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any securities. Offers, if any, will be made only by means of confidential offering materials to qualified investors. Submitting an investor access request does not create any obligation for you or for eBeauti. Statements on the Site about future products, plans or results are forward-looking, involve known and unknown risks, and may differ materially from actual results.

13. General

eBeauti AI Inc. is a Delaware corporation with principal offices in Phoenix, Arizona. eBeauti makes no claim that the Site or the Content is appropriate for use, or may be downloaded, outside the United States. Access to the Content may be illegal for certain persons or in certain countries. If you access the Site from outside the United States, you do so at your own risk and are responsible for complying with the laws of your jurisdiction.

The following provisions survive any expiration or termination of these Terms: Sections 1 (Not medical advice), 4 (Use of the Content, other than the permission to use the Content), 5 (Disclaimers and limitation of liability), 6 (User content and submissions), 7 (Photos, video and audio), the second paragraph of Section 8 (Accounts and passwords), the last paragraph of Section 9 (Community guidelines), 11 (Indemnity), 12 (Investor information), 13 (General), 14 (Governing law and venue) and 16 (Entire agreement).

If any provision of these Terms is found invalid by a court of competent jurisdiction, the invalidity of that provision does not affect the validity of the remaining provisions, which remain in full force and effect. No waiver of any of these Terms is a further or continuing waiver of that term or of any other term.

14. Governing law and venue

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws principles. You agree that the state and federal courts located in Maricopa County, Arizona have exclusive jurisdiction over any dispute with eBeauti, or relating in any way to your use of the Site, including any claim involving eBeauti or its affiliates, subsidiaries, employees, contractors, officers, directors, telecommunications providers and content providers, and you consent to the personal jurisdiction of those courts.

15. Copyright complaints

If you believe any material accessible on or from the Site infringes your copyright, you may ask us to remove it (or access to it) by sending eBeauti's copyright agent, identified below, the following information:

1. Identification of the copyrighted work you believe is infringed. Please describe the work and, where possible, include a copy or the location (for example, a URL) of an authorized version of it.
2. Identification of the material you believe is infringing and its location. Please describe the material and give us its URL or any other information that will let us locate it.
3. Your name, address, telephone number and (if available) email address.
4. A statement that you have a good-faith belief that the complained-of use of the material is not authorized by the copyright owner, its agent or the law.
5. A statement that the information you have supplied is accurate and, under penalty of perjury, that you are the copyright owner or are authorized to act on the copyright owner's behalf.
6. A physical or electronic signature of the copyright owner or an authorized representative.

If material you posted was removed and you believe that was a mistake or misidentification, you may send our copyright agent a counter-notice that includes: your physical or electronic signature; identification of the removed material and where it appeared; a statement under penalty of perjury that you have a good-faith belief the material was removed by mistake or misidentification; and your name, address and telephone number, with a statement that you consent to the jurisdiction of the federal court for your district (or, if you are outside the United States, any judicial district in which eBeauti may be found) and will accept service of process from the person who sent the original notice.

To protect the rights of copyright owners, eBeauti maintains a policy to terminate, in appropriate circumstances, the access of users who are repeat infringers.

16. Entire agreement

Except as expressly provided in a particular legal notice on the Site, these Terms and our Privacy Policy are the entire agreement between you and eBeauti concerning your use of the Site and the Content.
